Hindi natin isasama sa original estimate ang first-half 2026 results na inilabas noong July 29. Gagamitin lamang iyon later bilang post-event validation.

Ang pangunahing tanong natin:

Bago nangyari ang gap down, magkano ang reasonable value range ng MER?

Hindi natin hinahanap ang isang magic number na eksaktong fair value. Ang gusto natin ay isang valuation range na sapat para makita kung:

  • overpriced ba ang MER;
  • fairly valued;
  • o may meaningful margin of safety.

Ang Dating Paniniwala

Madaling i-value ang isang utility stock gamit ang dividend yield.

Tingnan ang dividend per share, pumili ng acceptable yield, at kunin ang implied price.

Ang Binagong Pananaw

Theoretically, SOTP ang best method

Ang ideal valuation approach kay MER ay Sum-of-the-Parts, o SOTP.

Sa ideal model:

  • ang Distribution Utility ay iva-value gamit ang normalized regulated earnings o regulatory asset base;
  • ang Power Generation and Renewables ay gagamitan ng project-level FCFF;
  • ang RES and Other Services ay maaaring gamitan ng earnings or EBITDA multiples;
  • at pagkatapos ay ia-adjust para sa debt, cash, minority interests at investments in associates.

Ito ang pinaka-conceptually correct dahil magkaiba ang economics ng bawat segment.

Pero may practical limitation.

Paano Ito Umaandar

Step 1: Establish the earnings base

Noong 2025, MER reported:

  • net income attributable to parent shareholders of ₱51.13 billion;
  • earnings per share of ₱45.36;
  • at cash and cash equivalents of ₱109.32 billion.

Ang 2025 EPS ay mas mataas kaysa:

  • ₱40.69 noong 2024;
  • ₱33.74 noong 2023;
  • ₱25.23 noong 2022;
  • at ₱20.85 noong 2021.

Malinaw ang earnings growth trend. Pero hindi natin dapat i-project na pareho ang bilis ng growth forever.

Sa Q1 2026, ang attributable net income ay tumaas ng 4% to ₱10.83 billion, habang ang EPS ay umakyat mula ₱9.27 patungong ₱9.61.

Kasabay nito:

  • bumaba ng 2% ang electricity sales volume;
  • tumaas ang debt;
  • at mahina ang quarterly operating cash flow kumpara sa malaking capital expenditures.

Kaya hindi natin gagamitin ang aggressive extrapolation ng Q1 earnings.

Para sa valuation, gagamit tayo ng normalized forward EPS range na:

  • Bear case: ₱44
  • Base case: ₱47
  • Bull case: ₱50

Ang ₱47 base EPS ay bahagyang mas mataas sa 2025 reported EPS na ₱45.36, pero hindi kasing aggressive ng annualizing a strong growth assumption.


Step 2: Select the valuation multiple

Hindi dapat pareho ang multiple ng mature regulated utility at high-growth generation developer.

Ang regulated utility deserves a degree of stability premium because of its franchise, customer base and recurring demand.

Pero may offsetting considerations:

  • regulatory risk;
  • large capital requirements;
  • rising debt;
  • interest-rate sensitivity;
  • project execution risk;
  • at increasing exposure to unregulated generation.

Pagsapit ng March 31, 2026, umabot sa humigit-kumulang ₱238 billion ang consolidated interest-bearing debt, mula ₱230 billion noong December 2025. Ang additional borrowings ay pangunahing ginamit para sa investments at strategic projects.

Sa kabilang banda, may ₱112.90 billion cash and cash equivalents ang grupo sa parehong reporting date.

Dahil dito, gagamit tayo ng blended earnings multiple range na:

  • 11 times for a cautious or regulatory-stress case;
  • 13 times for the base case;
  • 15 times for a stronger growth and stable-regulation case.

Ang range na ito ang practical proxy natin para sa pinaghalong value ng stable DU at faster-growing generation businesses.


Primary Earnings-Based Valuation

Bear Case

Normalized EPS: ₱44
Applied multiple: 11 times

Implied fair value:

₱484 per share

Ito ang case kung:

  • humina ang earnings growth;
  • magkaroon ng regulatory pressure;
  • tumaas ang financing burden;
  • o mag-demand ang market ng mas mataas na risk premium.

Base Case

Normalized EPS: ₱47
Applied multiple: 13 times

Implied fair value:

₱611 per share

Ito ang case kung:

  • modest ang earnings growth;
  • stable ang distribution earnings;
  • nagpapatuloy ang generation contribution;
  • at manageable ang debt and execution risks.

Bull Case

Normalized EPS: ₱50
Applied multiple: 15 times

Implied fair value:

₱750 per share

Ito ang case kung:

  • matagumpay ang generation expansion;
  • nananatiling supportive ang regulatory environment;
  • lumalakas ang earnings mix;
  • at willing ang market na magbigay ng premium multiple.

Sensitivity Analysis

Mas mahalaga sa valuation ang range kaysa isang single number.

At 11 Times Earnings

Kung ang normalized EPS ay ₱44, ang implied value ay ₱484.

Kung ₱47 ang EPS, ang implied value ay ₱517.

Kung ₱50 ang EPS, ang implied value ay ₱550.

Ito ang conservative valuation range.

At 13 Times Earnings

Kung ang normalized EPS ay ₱44, ang implied value ay ₱572.

Kung ₱47 ang EPS, ang implied value ay ₱611.

Kung ₱50 ang EPS, ang implied value ay ₱650.

Ito ang central or base valuation range.

At 15 Times Earnings

Kung ang normalized EPS ay ₱44, ang implied value ay ₱660.

Kung ₱47 ang EPS, ang implied value ay ₱705.

Kung ₱50 ang EPS, ang implied value ay ₱750.

Ito ang optimistic valuation range.

What the sensitivity tells us

Ang valuation ng MER ay heavily dependent sa dalawang bagay:

  1. Gaano karaming earnings ang sustainable?
  2. Anong multiple ang dapat ibigay ng market sa earnings na iyon?

Kahit hindi magbago nang malaki ang EPS, maaaring bumagsak ang fair value kapag nag-contract ang multiple dahil sa higher perceived regulatory risk.

Halimbawa, sa parehong ₱47 EPS:

  • 15 times gives ₱705;
  • 13 times gives ₱611;
  • 11 times gives ₱517.

Iyan ay halos ₱188 per share difference kahit pareho ang earnings assumption.

Ito ang mahalagang point sa nangyaring gap down.

Hindi kailangang mawala agad ang malaking bahagi ng earnings para bumagsak ang presyo. Minsan, sapat nang baguhin ng market ang multiple na handa nitong bayaran.

Ang dividend cross-check ay nagbibigay ng reasonable range na:

₱470 to ₱671 per share

The midpoint is around the high-₱500s.

Kapansin-pansin na malapit ito sa earnings-based base range na ₱572 to ₱650.


Reconciling the Two Methods

Ang earnings-based valuation ay nagbibigay ng base estimate na:

₱611 per share

Ang dividend-based cross-check, using a 4% required yield, ay nagbibigay ng:

₱588 per share

Kapag pinagsama ang dalawang reading, ang practical central fair-value zone natin ay:

₱590 to ₱610 per share

Para sa MH 2.0, gagamit tayo ng midpoint na:

Indicative Fair Value: ₱600 per share

Hindi ito exact intrinsic value. Isa itong practical valuation anchor based on normalized earnings and dividend capacity.


Margin-of-Safety Levels

Kung ang indicative fair value ay ₱600:

10% Margin of Safety

Buy-below reference:

₱540

15% Margin of Safety

Buy-below reference:

₱510

20% Margin of Safety

Buy-below reference:

₱480

25% Margin of Safety

Buy-below reference:

₱450

Para sa isang regulated and capital-intensive company na exposed sa policy risk, mas bagay ang 15% to 20% margin of safety kaysa aggressive 5% or 10%.

Kaya ang initial MH valuation zone ay:

Ordinary Buy-Below: ₱510
Stronger Margin-of-Safety Level: ₱480

Ito ay valuation reference lamang, hindi automatic trade instruction.


Valuation Reading at the July 24 Cut-Off

Ang existing MH position ay may average price net na:

₱596.386 per share

Ang average cost ay halos kapantay ng indicative ₱600 fair value.

Ibig sabihin, bago ang gap down:

  • hindi mukhang grossly overvalued ang initial purchase;
  • pero wala rin itong meaningful margin of safety;
  • at sensitibo ito sa anumang contraction sa valuation multiple.

Sa fair value na ₱600, ang average cost na ₱596.386 ay may halos zero discount.

Kaya tama na 10 shares lamang ang hawak at 6% pa lang ang deployment.

The position was not bought at a deep bargain. It was a small visibility position near estimated fair value.


Ano ang Hindi Alam ng Valuation Noong July 24?

Hindi alam ng model ang specific policy catalyst na susunod.

Pero may isang risk nang nakikita sa structure ng valuation:

Malaki ang bahagi ng value na nakadepende sa market’s willingness to retain a utility-style premium multiple.

Kapag tumaas ang perceived regulatory risk, maaaring bumaba ang multiple mula 13 times patungong 11 times kahit hindi pa nagbabago ang reported earnings.

Sa ₱47 normalized EPS, ang ganitong derating ay magbababa ng implied value mula:

₱611 to ₱517

Kapag mas severe ang risk perception at ang required dividend yield ay umakyat sa 5%, ang dividend-supported value ay bababa sa paligid ng:

₱470

Kaya kahit hindi natin alam ang exact catalyst, kaya ng sensitivity analysis na ipakita na posible ang valuation zone sa high-₱400s to low-₱500s under regulatory stress.

Hindi nito eksaktong hinulaan ang gap down.

Pero ipinakita nito ang possible magnitude ng multiple compression.


Preliminary Valuation Conclusion

Ordinary Buy-Below: ₱510
20% Margin-of-Safety Level: ₱480
Broad Sensitivity Range: ₱470 to ₱750

Ang broad range ay hindi weakness ng analysis. Reflection iyon ng tunay na uncertainty sa:

  • sustainable earnings;
  • appropriate market multiple;
  • future dividends;
  • debt;
  • project execution;
  • at regulatory environment.

The central reading is:

MER was approximately fairly valued near ₱600 before the gap down, but it did not offer a strong margin of safety.

That made a small probe defensible—but full deployment difficult to justify.


Pangwakas na Kaisipan

Magandang kumpanya ang MER. Malakas ang earnings history, malinaw ang dividend policy, at may substantial growth potential mula sa generation and renewable-energy investments.

Pero ang magandang kumpanya ay hindi awtomatikong magandang bilhin sa kahit anong presyo.

Bago ang gap down, ang market price at ang MH average cost ay halos nasa estimated fair value natin.

Walang malaking premium, pero wala ring malaking protection.

At dito naging mahalaga ang sensitivity analysis.

Hindi nito sinabi kung anong balita ang darating. Pero ipinakita nito na kapag bumaba ang acceptable earnings multiple o tumaas ang required dividend yield, mabilis ding bumababa ang reasonable value mula ₱600 papunta sa ₱500—or even high-₱400s.

Aba’y minsan, hindi earnings ang unang bumabagsak.

Ang unang bumabagsak ay ang presyong handang bayaran ng market para sa parehong earnings.

Sa susunod na post, gagawin nating mas formal ang risk-management reconstruction. Doon natin titingnan kung ang historical VaR, drawdown analysis at stress testing ay may kakayahang hulihin ang magnitude ng naging pagbaba.

The PSE has confirmed that its Shariah screening program is currently paused, with no new lists to be released until their internal review is completed. Although news outlets reported quarterly updates up to mid-2025, these later lists are no longer accessible on the PSE website.

For now, the PSE’s Shariah-Compliant Securities page and all past lists have been removed from the public website. The December 24, 2024 list is the last official version in Micro Stock Trader’s possession, downloaded before the page was taken down, although other investors may still hold later copies such as the reported July 4, 2025 release.

Bullish talaga ang nakikitang indicators batay sa available price data.

  • price location;
  • volatility;
  • at behavior ng market participants hanggang sa kasalukuyang candle.

Hindi nito direktang nalalaman ang isang policy announcement, regulatory intervention, political statement o ibang impormasyon na hindi pa naipapasok sa presyo.

Kaya ang tamang interpretation ng July 24 score ay hindi:

“Ligtas bumili dahil 7 ang score.”

Mas tama ang:

“Technically allowed ang BUY or ADD dahil aligned ang observable indicators, pero nananatili ang mga risk na hindi nakikita ng chart.”

Dito natin mas malinaw na nakikita ang kaibahan ng technical permission at portfolio obligation.

Ang TMA Gate Score ay sumagot sa tanong na:

May sapat bang technical alignment upang payagan ang deployment?

Hindi nito sinagot ang:

May paparating bang external event na maaaring mag-reset ng buong price structure?


Paano Ito Umaandar

SMA-50: Medium-Term Trend Support

Noong July 24, ang presyo ng MER ay nasa ibabaw ng rising SMA-50.

Kaya ang existing position ay mas malapit sa small visibility probe kaysa full Low Volatility Dividend Harvester deployment.

MACD: Strong Bullish Momentum

Ang MACD ay nasa ibabaw ng signal line at nasa ibabaw din ng zero line.

Nakakuha ito ng 2 points.

Ang interpretation:

Strong bullish momentum; BUY or ADD allowed.

Ito ang isa sa pinakamalinaw na bullish readings noong July 24.

Ang pag-akyat ng MACD sa ibabaw ng signal at zero lines ay nagpapakita na lumalakas ang momentum pagkatapos ng ilang linggong consolidation.

Sa chart, makikita ring nagkaroon ng upward push ang presyo papunta sa EMA-200 ribbon. Tumataas ang histogram at positibo ang direction ng momentum.

Kung pure technical setup lamang ang pagbabatayan, valid ang bullish reading.

RSI: Bullish Strength

Ang RSI ay nasa ibabaw ng 50 at rising.

Nakakuha rin ito ng 2 points.

Ang interpretation:

Bullish strength; BUY or ADD allowed.

Hindi pa overbought ang RSI. Sa halip, nagpapakita ito ng improving demand at strengthening price action.

Ito ang klase ng RSI structure na karaniwang sumusuporta sa continuation attempt.

Muli, walang malinaw na technical warning noong July 24 na may paparating na extraordinary gap down.

Ang July 24 score ay:

  • SMA-50: 2
  • EMA-200 Ribbon: 1
  • MACD: 2
  • RSI: 2

Total: 7 points

Mechanical decision:

BUY / ADD

Ang 7 points ay nagsasabing may strong technical alignment. Hindi nito sinasabing wala nang downside risk. Hindi rin nito sinasabing dapat ubusin agad ang natitirang capital allocation.

Sa MH governance:

BUY / ADD means allowed, not required.


Bakit “No Action” ang Actual Decision?

Bagama’t 7 ang TMA Gate Score, walang additional shares na binili noong July 24.

Hindi ito contradiction.

Ang TMA Gate Score ay gatekeeper lamang. Kapag pumasa ang stock, binubuksan nito ang option na bumili o magdagdag. Hindi nito inaalis ang discretion na huwag munang kumilos kapag:

  • hindi pa kumpleto ang stock study;
  • hindi pa finalized ang valuation;
  • hindi pa quantified ang risk;
  • may resistance o transition zone pa;
  • o sapat na muna ang existing visibility position.

Noong July 24, ang MER ay nasa loob pa ng EMA-200 ribbon. Hindi pa rin natin tapos ang fundamental, valuation at risk-management studies.

Kaya reasonable ang actual portfolio decision:

No action. Maintain the 10-share probe.

Ito mismo ang optionality principle ng MH 2.0.

Hindi natin kailangang gamitin ang lahat ng permission na ibinibigay ng system.


Ano ang Nangyari Pagkatapos ng Cut-Off?

Pagkatapos ng July 24, nagbago ang information environment.

Sa July 31 closing chart, bumagsak ang MER sa ₱480, matapos magbukas sa ₱495.80 at umabot lamang sa intraday high na ₱506.60. Ang malaking red candle ay sinabayan ng volume na humigit-kumulang 1.034 million shares, malinaw na mas mataas kaysa sa normal activity bago ang event.

Ang price structure ay tuluyang nabago:

  • nabasag ang SMA-50;
  • nilagpasan pababa ang buong EMA-200 ribbon;
  • nabasag ang lower Bollinger Band;
  • naging deeply negative ang MACD;
  • at bumagsak ang RSI sa humigit-kumulang 21.07.

Mula sa pre-event bullish alignment, naging technically oversold at strongly bearish ang chart sa loob lamang ng ilang trading sessions.

Hindi ito ordinaryong gradual trend reversal.

Isa itong information-driven repricing.

Ang gap down ay nagdala sa presyo mula sa vicinity ng long-term moving-average cluster patungo sa level na malayo sa dating support structure. Ang dating technical references sa bandang ₱576 hanggang ₱601 ay naging overhead resistance almost overnight.

Iyan ang klase ng move na mahirap hulihin ng normal trend-following indicators bago lumabas ang catalyst.


Nagkamali Ba ang TMA Gate Score?

Hindi kinakailangang ganoon ang conclusion.

Ang TMA Gate Score ay tama sa trabahong itinakda rito:

Sinukat nito ang technical alignment batay sa price and momentum information available noong July 24.

Hindi nito trabaho na hulaan ang isang external policy event.

Pero may mahalagang limitasyon itong ipinakita.

Ang isang strong TMA score ay maaaring ma-invalidate ng bagong impormasyon. Kaya hindi dapat gamitin ang score bilang stand-alone basis para sa full deployment, lalo na sa stock na may meaningful regulatory exposure.

Dito natin makikita kung bakit may magkakahiwalay na bahagi ang Stock Study:

  • fundamental analysis;
  • technical analysis;
  • valuation;
  • risk management;
  • at capital allocation.

Hindi sapat na pumasa sa isa lamang.

Aba’y kahit gaano kaganda ang chart, kapag binago ng bagong impormasyon ang expected economics ng negosyo, mabilis ding magbabago ang presyo.


Low Volatility Pa Rin Ba ang MER?

Historically, maaaring tama pa ring ilagay ang MER sa low-volatility group kumpara sa mas mabilis at mas speculative na stocks.

Pero ang July 2026 event ay nagpapakita na kailangan nating linawin ang label.

Ang Low Volatility Dividend Harvester ay hindi ibig sabihin na:

  • hindi magkakaroon ng gap down;
  • hindi magkakaroon ng double-digit decline;
  • o laging maliit ang daily movement.

Mas tamang ibig sabihin nito:

Sa normal market conditions, historically mas controlled ang price behavior at pangunahing inaasahang return source ang dividends.

May mahalagang qualification:

Low observed volatility does not mean low event risk.

Posibleng tahimik ang stock sa loob ng maraming buwan, pero magkaroon ng abrupt repricing kapag may regulatory o political development.

Kaya hindi dapat mawala ang stress testing at position-sizing discipline dahil lamang defensive ang classification.


Preliminary Technical Reading

Batay sa sealed July 24 reconstruction, ang MER ay may:

  • bullish medium-term trend;
  • improving momentum;
  • bullish RSI;
  • ngunit incomplete long-term breakout dahil nasa loob pa ng EMA-200 ribbon.

Ang mechanical output na BUY / ADD ay defensible.

Pero ang actual No Action ay mas lalong defensible dahil:

  • 6% pa lamang ang deployment;
  • may existing 10-share visibility position na;
  • hindi pa tapos ang stock study;
  • at hindi pa confirmed ang long-term breakout.

Kung nag-full deploy tayo dahil lamang sa 7-point score, malaki sana ang immediate portfolio damage matapos ang gap down.

Dahil probe position lamang ang hawak, nanatiling limitado ang actual exposure habang nagbibigay pa rin ito ng real-market observation.


Pangwakas na Kaisipan

Ang MER chart bago ang gap down ay hindi mukhang may paparating na malaking problema.

Nasa ibabaw ng rising SMA-50 ang presyo. Bullish ang MACD. Rising ang RSI. At bagama’t nasa loob pa ng EMA-200 ribbon, sapat ang overall alignment upang umabot sa 7-point BUY or ADD band.

Hindi mali ang technical reading.

Pero hindi rin nito kayang makita ang hindi pa nangyayari.

Ito ang pinakamahalagang lesson ng MER Technical Analysis:

Technical alignment measures the condition of the market—not the absence of future surprises.

Sa MH 2.0, hindi natin itatapon ang TMA Gate Score dahil hindi nito nahulaan ang gap down. Sa halip, ilalagay natin ito sa tamang lugar.

Isa itong gatekeeper, hindi fortune teller.

At ang BUY or ADD permission ay mananatiling option—not obligation.

Sa susunod na post, titingnan naman natin ang valuation ng MER bago ang gap down. Doon natin aalamin kung ang presyo ba noong July 24 ay may sapat na margin of safety, o kung ang market valuation ay umaasa sa masyadong tahimik na regulatory environment.

The PSE has confirmed that its Shariah screening program is currently paused, with no new lists to be released until their internal review is completed. Although news outlets reported quarterly updates up to mid-2025, these later lists are no longer accessible on the PSE website.

For now, the PSE’s Shariah-Compliant Securities page and all past lists have been removed from the public website. Ang tanong natin ay mas basic pero mas mahalaga:

Bago nangyari ang gap down, ano ba talaga ang klase ng negosyong hawak natin sa MER?

Sa Micro Harvesting 2.0, pinag-aaralan natin ang MER bilang kandidato sa Low Volatility Dividend Harvester bucket. Natural ang initial impression na iyon. Malaki ang franchise area nito, mahalagang serbisyo ang kuryente, matagal nang dividend-paying company, at historically hindi ito karaniwang tinitingnan bilang high-volatility speculative stock.

Pero habang binabasa natin ang financial statements, lumalabas na ang modernong MER ay hindi na simpleng distribution utility lamang.

May stable regulated core pa rin ito. Pero kasabay nito, lumalaki ang power generation, renewable energy, LNG, retail electricity supply, at iba pang capital-intensive investments.

Ibig sabihin, maaaring low volatility ang tingin ng market sa stock—pero mas komplikado na ang fundamental risk sa ilalim.


Ang Dating Paniniwala

Madaling isipin ang MER sa ganitong paraan:

Malawak ang customer base. Tuloy-tuloy ang pangangailangan sa kuryente. Regulated ang distribution business. May dividends. Kaya defensive stock.

May katotohanan naman iyon.

Ayon sa Q1 2026 report, ang regulated segment ng grupo ay binubuo ng electricity distribution operations ng MERALCO, Clark Electric at Shin Clark Power. Kasama naman sa unregulated businesses ang power generation, retail electricity supply, engineering and construction, fintech-related services, telecommunications, electric mobility at iba pang energy-related businesses.

Malakas din ang franchise position. Sakop ng distribution business nito ang malaking bahagi ng Metro Manila at mga kalapit na lalawigan, at ang congressional franchise ay na-renew hanggang 2053. Tinatayang humahawak ang MER distribution area ng humigit-kumulang kalahati ng power requirements ng bansa.

Kung dito lamang tayo titingin, madaling buuin ang dating paniniwala:

Utility ang MER, kaya predictable ang earnings at mababa ang risk.

Pero hindi ganoon kasimple.

Ang distribution revenue ay heavily regulated. Ang mga singil, refunds, over-recoveries, under-recoveries, allowable returns at capital expenditures ay nakatali sa ERC-approved mechanisms. Hindi malayang nagtatakda ng presyo ang kumpanya tulad ng ordinaryong consumer business.

At habang lumalaki ang generation business, mas nagiging exposed din ang grupo sa construction risk, financing risk, interest rates, foreign exchange, fuel markets at project execution.

Kaya ang tamang description ay hindi na simpleng “stable utility.”

Mas tama sigurong sabihin:

MER is a regulated distribution platform with a growing capital-intensive energy portfolio.


Ang Binagong Pananaw

Malakas ang earnings record

Mula 2021 hanggang 2025, malinaw ang pag-angat ng reported earnings attributable to parent shareholders:

  • 2021: ₱23.50 billion
  • 2022: ₱28.43 billion
  • 2023: ₱38.02 billion
  • 2024: ₱45.86 billion
  • 2025: ₱51.13 billion

Kasabay nito, tumaas ang earnings per share mula ₱20.85 noong 2021 tungo sa ₱45.36 noong 2025.

Hindi ito stagnant utility story.

Sa loob ng apat na taon, higit sa doble ang EPS. Ang growth na iyon ay hindi lamang galing sa pagtaas ng electricity bills. Malaking bahagi ng bill ang pass-through charges—generation, transmission at iba pang costs na hindi awtomatikong kumakatawan sa mas mataas na profit margin para sa distributor.

Ang mas mahalagang development ay ang paglawak ng earnings contribution mula sa power generation at related businesses.

Diversified na ang earnings engine

Ang Power segment ng MER ay binubuo ng distribution, power generation at retail electricity supply. Sa pagtatapos ng 2025, may humigit-kumulang 5,069.7 MW net generating capacity na ang grupo mula sa coal, LNG, renewable energy at diesel facilities sa Pilipinas at Singapore, bukod pa sa malalaking solar projects na nasa development.

May dalawang epekto ito.

Una, nababawasan ang dependence sa regulated distribution earnings. Kapag mahina ang electricity sales growth sa franchise area, puwedeng manggaling ang incremental earnings sa generation at retail supply.

Ikalawa, lumalaki ang complexity.

Ang generation business ay nangangailangan ng malaking capital, long construction periods, financing arrangements, fuel sourcing at project execution. Hindi ito kapareho ng mature distribution network na may relatively predictable regulated return.

Kaya habang nagiging mas diversified ang MER, hindi automatic na nagiging mas mababa ang risk. Ang diversification ay maaaring magpalakas ng earnings—but it can also introduce new forms of risk.

Matibay ang dividend framework

Isa sa pinakamalakas na argumento para sa MER bilang Dividend Harvester ay ang malinaw nitong dividend policy.

Ang regular cash dividend policy ay katumbas ng 50% ng consolidated core net income, habang ang special dividends ay nakadepende sa available unrestricted retained earnings at free cash.

Ang declared regular dividends kada share ay:

  • 2023: ₱19.55
  • 2024: ₱21.54
  • 2025: ₱25.07

Noong February 2026, nagdeklara rin ang kumpanya ng ₱16.67 per share cash dividend, mas mataas sa ₱13.74 na comparable declaration noong nakaraang taon.

Para sa 10 shares ng MH portfolio, ang ₱16.67 declaration ay katumbas ng ₱166.70 gross cash dividend bago ang applicable taxes.

Mahalaga ito, pero hindi rin natin dapat tratuhin ang dividend bilang guaranteed coupon.

Ang dividend payout ay nakatali sa core earnings, retained earnings at free cash. Kapag lumaki ang capital requirements, financing needs o regulatory obligations, maaaring magkaroon ng tension sa pagitan ng expansion at shareholder distributions.

Lumalaki rin ang balance sheet

Noong katapusan ng 2024, ang total assets ng grupo ay ₱617.96 billion. Pagsapit ng katapusan ng 2025, umakyat ito sa ₱823.88 billion.

Kasabay nito, tumaas ang interest-bearing long-term financial liabilities mula humigit-kumulang ₱60.49 billion noong 2024, kasama ang current portion, tungo sa humigit-kumulang ₱193.68 billion noong 2025.

Hindi agad ibig sabihin nito na mahina ang kumpanya. Malaki rin ang cash position nito—₱109.32 billion sa pagtatapos ng 2025.

Pero malinaw ang direksiyon:

Mas malaki ang MER, mas malaki ang asset base, at mas malaki rin ang financing requirement.

Pagsapit ng March 31, 2026, umabot sa ₱238.14 billion ang consolidated interest-bearing debt, mula ₱230.05 billion sa pagtatapos ng 2025. Umakyat din ang debt-to-equity ratio mula 1.33 patungong 1.43.

Ang dagdag na borrowing ay pangunahing ginamit para sa investments at strategic projects, kabilang ang MTerra Solar at iba pang generation initiatives.

Para sa dividend investor, hindi ito automatic red flag. Pero hindi rin ito dapat balewalain.

Ang isang high-capex company ay kailangang patuloy na mag-balance ng:

  • dividends;
  • network modernization;
  • generation expansion;
  • debt servicing;
  • at liquidity.

Mas mahina ang Q1 2026 cash conversion

Sa Q1 2026, tumaas ang consolidated revenues ng 5% at ang net income attributable to parent ng 4%, mula ₱10.45 billion tungo sa ₱10.83 billion. Ang EPS ay umakyat mula ₱9.27 patungong ₱9.61.

Sa headline earnings level, maayos ito.

Pero may mga senyales na dapat bantayan.

Bumaba ng 2% ang electricity sales volume. Bumaba rin ang net cash provided by operating activities mula ₱9.72 billion sa Q1 2025 tungo sa ₱3.47 billion sa Q1 2026, habang umabot sa ₱25.40 billion ang capital expenditures sa quarter.

Hindi natin dapat direktang i-annualize ang isang quarter. Maaaring maapektuhan ng timing ng collections, working capital at project payments ang cash flow.

Pero bilang pre-gap observation, mahalaga ito:

Lumalaki ang earnings, ngunit mas mabilis din ang capital requirement kaysa sa operating cash generation sa quarter.

Iyan ang uri ng development na hindi agad makikita sa dividend history lamang.


Paano Ito Umaandar

Ang distribution business ang stability layer

Ang regulated distribution business ang nagbibigay sa MER ng malaking customer base, recurring electricity demand at infrastructure moat.

Hindi madaling palitan ang distribution network. Hindi rin madaling pumasok ang bagong competitor at magtayo ng parallel grid sa parehong franchise area.

Pero ang economic return nito ay nakadepende sa regulatory framework.

Sa performance-based regulation, kinokonsidera ng ERC ang approved operating expenditures, capital expenditures at regulated return on the regulatory asset base. May reward o penalty rin depende sa network at service performance.

Kaya ang stability ng distribution business ay hindi nangangahulugan na walang policy risk.

Ang rate setting, refunds, delayed approvals, allowable recoveries at treatment ng bill components ay puwedeng makaapekto sa timing at amount ng earnings at cash flow.

Hindi lahat ng electricity charge ay MER profit

Ito ang isang importanteng point para sa ordinaryong investor.

Kapag tumaas ang electricity bill, hindi ibig sabihin na pareho ring tumataas ang MER profit.

Maraming components ng bill ang pass-through charges. Kinokolekta ng distributor ang generation at transmission costs at ipinapasa sa relevant suppliers o transmission operator, subject sa true-up and recovery mechanisms.

Ang actual distribution charge ang mas direktang konektado sa regulated distribution return.

Kaya mataas man ang reported revenue, kailangan pa ring tingnan ang purchased power costs, distribution margin at segment contribution.

Noong 2025, umabot sa ₱497.33 billion ang consolidated revenue, pero ₱377.28 billion din ang purchased power cost. Ang reported net income attributable to parent ay ₱51.13 billion.

Mataas ang revenue base, pero manipis ang economic spread kumpara sa total billings dahil malaking bahagi ay pass-through.

Ang generation business ang growth layer

Ang MGen at renewable-energy projects ang nagbibigay ng malaking growth optionality.

May exposure ang grupo sa coal, LNG, solar at regional generation assets. May long-term projects itong maaaring magdagdag ng earnings kapag naging fully operational.

Pero dito rin pumapasok ang:

  • project delay;
  • cost overrun;
  • construction risk;
  • fuel-price exposure;
  • foreign-exchange exposure;
  • interest-rate risk;
  • at dependence sa power supply agreements.

Sa 2025 report, tinatayang ₱111.23 billion ng financial instruments na exposed sa floating interest-rate risk ang nakalista, kumpara sa ₱19.73 billion noong 2024. Tinataya rin ng kumpanya na ang 75-basis-point increase sa interest rates ay maaaring magbawas ng humigit-kumulang ₱834 million sa income before tax, all else equal.

Hindi nito sinasabing delikado agad ang balance sheet. Pero malinaw nitong ipinapakita na mas rate-sensitive na ang negosyo kaysa sa dating simpleng utility image.

Ang dividend ang shareholder-return layer

Malinaw at earnings-linked ang regular dividend policy. Iyan ang isang dahilan kung bakit may lugar ang MER sa Low Volatility Dividend Harvester watchlist.

Pero sa MH 2.0, hindi sapat ang dividend yield lamang.

Kailangan nating tanungin:

  • Sustainable ba ang core earnings?
  • Sapat ba ang operating cash flow?
  • Gaano kalaki ang capex pipeline?
  • Tumataas ba ang debt nang mas mabilis kaysa earnings?
  • Gaano kalaki ang regulatory and policy sensitivity?
  • At ano ang tamang allocation para sa ganitong klaseng risk?

Ang dividend ay bahagi ng thesis. Hindi iyon kapalit ng thesis.


Fundamental Risks Visible Before the Gap Down

Hindi natin alam noong July 24 kung anong eksaktong balita ang susunod.

Pero may ilang risk categories nang malinaw sa public documents.

Regulatory risk

Ang distribution earnings, rates, refunds at recoveries ay nakadepende sa ERC decisions.

Sa 2025 financial statements, may nakasaad nang ₱987.2 million regulatory reset cost refund directive, bukod pa sa removal ng related charge mula sa distribution wheeling rate. Sumunod ang MER sa refund habang humihingi rin ng basis para sa computation.

Hindi nito hinuhulaan ang susunod na policy issue. Pero malinaw nitong ipinapakita na ang distribution economics ay maaaring maapektuhan ng regulatory reinterpretation at mandated refunds.

Political and public-sentiment risk

Kuryente ang isa sa pinaka-sensitive na household expenses.

Kahit pass-through cost ang malaking bahagi ng bill, ang MER brand ang nakikita ng customer sa billing statement. Kapag mataas ang presyo ng kuryente, madaling mapunta sa distributor ang public pressure.

Ibig sabihin, may pagitan ang legal economics ng bill at public perception nito.

Ang ganitong gap ay maaaring maging source ng sudden sentiment risk.

Capital-allocation risk

Malaki ang expansion program ng grupo. Nagdadala ito ng long-term growth, pero nangangailangan din ng malaking capital at debt.

Kung ma-delay ang projects, tumaas ang construction costs o bumaba ang expected returns, maaaring ma-pressure ang cash flow at future dividends.

Interest-rate and foreign-exchange risk

Maraming energy projects ang gumagamit ng imported equipment at foreign-currency contracts. Ang mas mahinang peso ay maaaring magpataas ng project costs at foreign-currency liabilities.

Samantala, ang mas mataas na interest rates ay direktang nakaaapekto sa floating-rate debt.

Volume and structural-demand risk

Bumaba ng 2% ang Q1 2026 electricity sales volume kahit lumaki ang customer base.

Hindi pa ito sapat para sabihing may structural decline. Pero maaaring maapektuhan ang traditional distribution volume ng energy efficiency, rooftop solar, economic activity at customer migration toward competitive retail arrangements.


Preliminary Fundamental Reading

Batay lamang sa information available hanggang July 24, 2026, hindi mukhang fundamentally distressed company ang MER.

Malakas ang franchise. Lumalaki ang earnings. May malinaw na dividend policy. Diversified ang earnings base. Malaki ang cash balance. Na-renew ang franchise hanggang 2053.

Pero hindi rin ito dapat ituring na simpleng sleep-well utility stock.

Ang mas tamang reading ay:

Fundamentally strong, dividend-capable and strategically expanding—but increasingly capital-intensive, leveraged and exposed to regulatory-event risk.

Para sa MH 2.0, pasado ang MER bilang Low Volatility Dividend Harvester candidate, pero provisional pa lamang ang classification.

Hindi natin dapat i-equate ang low historical price volatility sa low fundamental event risk.

At hindi rin natin dapat i-full deploy ang ₱100,000 allocation dahil lamang matatag ang earnings history.

As of July 27, 2026, 10 shares lamang ang hawak natin at ₱5,963.86 ang deployed mula sa ₱100,000 allocation. Tama ang treatment nito bilang small visibility position habang hindi pa kumpleto ang technical, valuation at risk-management study.


Pangwakas na Kaisipan

Kung July 24, 2026 lamang ang alam natin, ang MER ay mukhang de-kalidad na negosyo na may lumalaking earnings at improving dividends.

Pero may nakikitang pagbabago sa character ng kumpanya.

Mula sa classic regulated utility, nagiging mas malawak itong energy platform—may generation, LNG, renewables, retail supply at major capital projects.

Magandang development iyon para sa growth.

Shariah Compliance Advisory (Updated Nov 26, 2025)

The PSE has confirmed that its Shariah screening program is currently paused, with no new lists to be released until their internal review is completed. Although news outlets reported quarterly updates up to mid-2025, these later lists are no longer accessible on the PSE website.

For now, the PSE’s Shariah-Compliant Securities page and all past lists have been removed from the public website. The December 24, 2024 list is the last official version in Micro Stock Trader’s possession, downloaded before the page was taken down, although other investors may still hold later copies such as the reported July 4, 2025 release.

All halal-focused strategies under Micro Stock Trader will use a conservative, self-screened approach until official guidance resumes, in shā’ Allāh.
