Ang Punto ng Usapan

Ito ang unang post ng ating ICT Stock Study, isang application series kung saan susubukan nating dalhin sa isang aktuwal na stock ang mga bagong aral at governance upgrades ng Micro Harvesting 2.0.

Hindi ito simpleng company profile. Hindi rin ito isang mahabang stock recommendation na nagtatapos sa “buy,” “hold,” o “sell.” Ang layunin natin ay mas process-oriented: tingnan kung paano dapat dumaan ang isang mahalagang portfolio position sa isang mas kumpletong decision workflow.

Sa pagkakataong ito, ang pag-aaralan natin ay International Container Terminal Services, Inc., o ICT—isang stock na may espesyal na papel sa ating portfolio bilang Core Anchor / Special Engine.

Sa oras ng pagbuo ng series na ito, mayroon tayong:

Ibig sabihin, hindi na ito theoretical exercise lamang. May tunay nang capital na nakataya, kaya kailangan nating maging mas organisado sa pagsusuri.


Ang Dating Paniniwala

Noong mas simple pa ang ating paraan, puwedeng magsimula at matapos ang pagtingin sa stock sa ilang tanong lamang:

Maganda ba ang kumpanya?
Umaakyat ba ang presyo?
May pagkakataon bang kumita?
May cash pa ba para bumili?

Functional naman ang mga tanong na iyan. Pero habang lumalaki ang position at tumataas ang portfolio concentration, nagiging bitin na ang ganoong approach.

Halimbawa, maaaring maganda ang kumpanya pero mahal na ang presyo. Maaari ring mura sa valuation pero mahina pa ang chart. Posible ring parehong maganda ang fundamentals at technical condition, ngunit hindi na kayang tanggapin ng portfolio ang dagdag na concentration.

May isa pang panganib: kapag nauna ang conviction kaysa proseso, madali nating mahanapan ng dahilan ang gusto na nating gawin.

Kapag gusto nating bumili, makikita natin ang bullish factors. Kapag gusto nating mag-hold, makikita natin ang long-term story. Kapag gusto nating magbenta, mapapansin naman natin ang risks.

Kaya sa MH 2.0, kailangan nating ayusin hindi lamang ang sagot—kundi pati ang pagkakasunod-sunod ng mga tanong.


Ang Binagong Pananaw

Ang bagong ICT Stock Study ay susunod sa limang magkakaugnay na pagsusuri:

Understand the business → Read the chart → Estimate value → Define the risks → Allocate capital

Hindi dapat mauna ang capital allocation. Ito ang magiging conclusion, hindi opening assumption.

Hindi rin dapat gamitin ang isang analysis para burahin ang mensahe ng iba. Halimbawa:

  • Hindi sapat ang magandang fundamentals para balewalain ang valuation.
  • Hindi sapat ang malakas na chart para kalimutan ang business risk.
  • Hindi sapat ang mataas na estimated fair value para awtomatikong magdagdag ng shares.
  • Hindi sapat ang conviction para i-override ang liquidity at concentration limits.

Ang bawat post ay may sariling tanong. Ngunit sa dulo, kailangan silang pagsamahin upang makabuo ng isang coherent portfolio decision.


Paano Ito Umaandar

ICT Stock Study, Post 2: ICT Fundamental Analysis

Dito natin sisimulan ang pagsusuri sa mismong negosyo.

Titingnan natin ang:

  • business model ng ICT;
  • geographic diversification;
  • revenue at earnings drivers;
  • operating margins;
  • cash flow generation;
  • debt and financing structure;
  • capital expenditure requirements;
  • acquisition-led growth;
  • at mga pangunahing business risks.

Ang layunin ay hindi lamang patunayan na malaking kumpanya ang ICT. Ang mas mahalagang tanong ay kung ang kalidad ng negosyo, cash flows, at growth runway nito ay sapat para suportahan ang papel nito bilang isang major portfolio holding.

Sa puntong ito, hindi pa tayo magdedesisyon ng target allocation. Itinatayo pa lamang natin ang business case.

ICT Stock Study, Post 3: ICT Technical Analysis

Pagkatapos maintindihan ang negosyo, lilipat naman tayo sa galaw ng presyo.

Gagamitin natin ang sarili nating MH 2.0 TMA Gate Score, na nakabatay sa:

  • SMA-50;
  • EMA-200 ribbon;
  • MACD;
  • RSI;
  • at supporting volume context.

Sa annotated daily chart noong July 24, 2026, ang ICT ay nagsara sa ₱957.00.

Ang TMA reading ay:

  • SMA-50: 2 points
  • EMA-200 ribbon: 2 points
  • MACD: 0.5 point
  • RSI: 1 point

Total TMA Gate Score: 5.5

Ito ay nasa TECHNICAL TEST PROBE band—isang setup na structurally acceptable ngunit hindi pa perfect ang momentum.

Mahalaga ang salitang probe. Hindi ito automatic buy instruction. Ito ay permission lamang na maaaring isaalang-alang ang maliit at controlled action kung may portfolio capacity.

Sa ating kaso, mayroon nang 500 anchor shares at nasa 115% deployment na ang ICT. Kaya kahit technically allowed ang probe, hindi ibig sabihin na kailangan pa nating gamitin agad ang option.

ICT Stock Study, Post 4: ICT Valuation

Sa ikaapat na post, susubukan nating sagutin ang isa sa pinakamahirap na tanong:

Magkano ang reasonable value ng ICT batay sa operating assumptions at future cash flows?

Gagamit tayo ng FCFF, o Free Cash Flow to the Firm, discounted cash flow approach.

Hindi natin kailangang ilantad ang bawat spreadsheet cell o lahat ng intermediate computation. Mas mahalaga ang workflow:

  • starting financial data;
  • normalization of operating figures;
  • forecast assumptions;
  • revenue and margin estimates;
  • capital expenditure;
  • working capital requirements;
  • tax assumptions;
  • cost of debt;
  • cost of equity;
  • weighted average cost of capital;
  • terminal value;
  • enterprise value;
  • equity value;
  • at implied value per share.

Ang valuation ay magbibigay sa atin ng range, hindi prophecy.

At kahit lumabas na mas mataas ang estimated intrinsic value kaysa sa market price, hindi pa rin iyon automatic instruction na i-maximize ang position. Ang valuation ay nagsasabi kung may potential margin of safety. Hindi nito sinasabi kung kaya ng portfolio ang exposure.

ICT Stock Study, Post 5: ICT Risk Management

Pagkatapos ng valuation, saka natin haharapin ang downside.

Kasama rito ang:

  • concentration risk;
  • acquisition and integration risk;
  • currency risk;
  • country and regulatory risk;
  • leverage and refinancing risk;
  • capital expenditure risk;
  • valuation-model risk;
  • liquidity risk;
  • drawdown risk;
  • at operational risk sa mismong execution ng trader.

May practical portfolio issue rin tayo: ang ICT ay hindi maliit na exploratory position. Ang 500 shares at ₱973.5377 average net cost ay kumakatawan sa humigit-kumulang ₱486,769 na net cost basis.

Samantala, ang current capital allocation nito ay ₱390,000. Kaya ang position ay nasa roughly 125% of allocation by cost basis, bagama’t ang working deployment figure natin ay 115% batay sa portfolio monitoring method na ginagamit sa araw ng assessment.

Ang simpleng mensahe: mayroon nang concentration. Kaya ang susunod na action ay kailangang maging mas maingat kaysa noong 100 o 200 shares pa lamang ang hawak.

ICT Stock Study, Post 6: ICT Capital Allocation

Ito ang magiging culmination ng series.

Dito natin pagsasamahin ang:

  • business quality mula sa Fundamental Analysis;
  • trend and momentum mula sa Technical Analysis;
  • estimated value mula sa Valuation;
  • downside and portfolio constraints mula sa Risk Management;
  • at liquidity needs ng buong MH portfolio.

Ang capital allocation ay hindi reward sa paboritong stock. Isa itong governance decision.

Ang tanong ay hindi lang:

“Maganda ba ang ICT?”

Ang tamang tanong ay:

“Given its quality, price, valuation, risks, and our existing exposure, gaano kalaking bahagi ng portfolio ang nararapat nating ipagkatiwala rito?”


Preliminary ICT Portfolio Decision

Batay sa mga conclusion na bubuuin at palalawakin sa susunod na limang posts, ito ang preliminary consolidated decision ng ICT Stock Study:

Portfolio role

Mananatili ang ICT bilang Core Anchor / Special Engine ng Micro Harvesting 2.0 portfolio.

Hindi ito ituturing na ordinaryong rotation stock lamang. Ang business quality, earnings growth potential, liquidity, at historical contribution nito sa realized gains ay nagbibigay-katwiran sa mas mataas na allocation kaysa sa karaniwang MH position.

Ang kasalukuyang 500 shares ang ituturing na established anchor position.

  • Average net cost: ₱973.5377
  • Total cost basis: approximately ₱486,769
  • July 24 closing price: ₱969.00
  • Approximate market value: ₱482,586.23
  • Approximate unrealized position: −₱4,182.63, net of selling costs
  • Approximate price difference from average cost: −0.86%

Hindi ito severe impairment. Malapit pa rin ang market price sa average cost, habang nananatiling above rising SMA-50 at above EMA-200 ribbon ang presyo.

Technical decision

Ang TMA Gate Score na 5.5 ay nagbibigay lamang ng TECHNICAL TEST PROBE permission.

Gayunman, dahil mayroon nang 500 shares at overdeployed na ang position relative sa ₱390,000 allocation, ang practical implementation ay:

HOLD / WATCH ang 500-share anchor; huwag munang magdagdag sa kasalukuyang price zone nang walang malinaw na valuation margin at bagong capital-allocation authority.

Ibig sabihin, ang technical permission to probe ay hindi ie-exercise automatically.

Allocation decision

Ang ₱390,000 allocation ay maaari nang ituring na fully utilized at temporarily exceeded.

Ang 500-share position ay hindi kailangang bawasan solely dahil lampas ito sa nominal allocation. Ang oversizing ay allowed sa MH 2.0 kapag:

  • malinaw ang portfolio role;
  • documented ang dahilan;
  • manageable ang downside;
  • at hindi nito sinisira ang liquidity plan.

Ngunit hindi rin natin itataas agad ang position mula 500 to 600 shares.

Ang additional 100-share capacity ay magiging conditional reserve, hindi automatic next buy.

Sa presyo na humigit-kumulang ₱969 per share, ang dagdag na 100 shares ay mangangailangan ng halos ₱96,900, excluding fees. Dadalhin nito ang gross position sa humigit-kumulang:

  • 600 shares
  • Approximate market exposure na ₱581,400
  • At materially higher concentration sa portfolio

Kaya bago i-authorize ang 600-share level, kailangan munang matugunan ang tatlong kondisyon:

  1. Ang valuation study ay magpakita ng sapat na upside o margin of safety.
  2. Ang TMA Gate Score ay manatili sa probe-or-better band, nang walang structural breakdown.
  3. Ang portfolio liquidity at October 2026 cash requirement ay hindi malalagay sa alanganin.

Price-location governance

Hindi natin hahabulin ang presyo dahil lamang gumanda ang momentum.

Ang current position ay nasa isang zone na malapit sa average cost. Kung magkaroon ng deeper pullback, ang mga susunod na action ay dapat nakatali sa updated price location at governance—not merely sa desire na pababain ang average cost.

Ang dating Layer 2 reference area na humigit-kumulang ₱876.5–₱924.5 ay maaaring maging mas relevant na review zone kaysa sa pagbili nang agresibo malapit sa ₱957–₱974 area.

Ngunit kahit maabot ang price zone, hindi pa rin iyon automatic trigger. Kailangan pa ring pumasa sa TMA Gate Score, valuation check, at capital-capacity review.

Preliminary consolidated output

ICT Portfolio Decision: RETAIN 500-SHARE CORE ANCHOR; NO AUTOMATIC ADD.

Ang 500 shares ay mananatili habang acceptable ang business thesis at hindi nasisira ang long-term technical structure. Ang dagdag na 100 shares ay option lamang, subject to valuation margin, technical confirmation, at portfolio liquidity.

Sa isang linya:

Maintain the 500-share ICT anchor, preserve the right—but not the obligation—to expand toward 600 shares, and let valuation and risk capacity decide whether that option should ever be exercised.

Iyan ang abstract ng magiging conclusion ng limang susunod na posts. Hindi pa ito final forever. Pero sapat itong malinaw para gabayan ang kasalukuyang position habang kinukumpleto natin ang buong ICT Stock Study.


Pangwakas na Kaisipan

Ang pinakamalaking pagbabago sa MH 2.0 ay hindi lamang pagdami ng indicators, formulas, o spreadsheets. Ang tunay na pagbabago ay ang pagkakaroon ng tamang sequence.

Hindi na tayo basta nagsisimula sa tanong na, “Bibili pa ba?”

Nagsisimula na tayo sa:

Ano ang negosyo?
Ano ang sinasabi ng chart?
Ano ang reasonable value?
Ano ang maaaring magkamali?
At saka lamang—gaano karaming capital ang dapat ilaan?

Sa ICT, may conviction tayo. Pero ang conviction ay kailangan pa ring dumaan sa governance.

May 500 shares na tayo. May option tayong palakihin ito. Pero sa MH 2.0, ang option ay karapatan lamang—hindi obligasyon.

At marahil iyan ang pinakamahalagang tema ng buong series na ito: hindi lamang natin pinag-aaralan ang ICT. Pinag-aaralan din natin kung paano maging mas maayos na operator ng sarili nating portfolio.


Shariah Compliance Advisory (Updated Nov 26, 2025)

The PSE has confirmed that its Shariah screening program is currently paused, with no new lists to be released until their internal review is completed. Although news outlets reported quarterly updates up to mid-2025, these later lists are no longer accessible on the PSE website.

For now, the PSE’s Shariah-Compliant Securities page and all past lists have been removed from the public website. The December 24, 2024 list is the last official version in Micro Stock Trader’s possession, downloaded before the page was taken down, although other investors may still hold later copies such as the reported July 4, 2025 release.

All halal-focused strategies under Micro Stock Trader will use a conservative, self-screened approach until official guidance resumes, in shā’ Allāh.

Every trading system needs rules.

Kailan dapat tumigil kahit may opportunity?
Kailan tactical lang ang adjustment, at kailan policy-level na ang change?

Dito pumapasok ang Micro Harvesting 2.0 Investment Policy.

Para sa amin, ito ang magiging constitution ng MH Money Machine.


Bakit Kailangan ng Investment Policy ang MH?

Sa simula, madaling isipin na ang Micro Harvesting ay purely execution system.

May stock.
May layer.
May refill.
May harvest.
May gain.
Repeat.

Pero hindi ganoon kasimple ang actual market.

May drawdown.
May overdeployment.
May trapped capital.
May liquidity need.
May dividend strategy.
May technical setup na maganda pero bawal na dahil puno na ang allocation.
May stock na attractive pero hindi pasok sa portfolio role.
May market condition na maingay pero hindi naman dapat baguhin ang buong system.

Kaya kailangan ng Investment Policy.

Hindi para gawing komplikado ang MH, kundi para hindi ito maligaw.

The Investment Policy answers the bigger question:

Does this action still serve the whole portfolio?


Core Principle: Every Trade Must Serve the Portfolio

Ito ang pinaka-importanteng principle ng Micro Harvesting 2.0:

Every trade must serve the portfolio.

Hindi sapat na valid ang isang chart setup.
Hindi sapat na mura ang isang stock.
Hindi sapat na may harvest opportunity.
Hindi sapat na may rebound signal.

Kailangan itanong:

Pasok ba ito sa policy?
May allocation room pa ba?
May sapat pa bang dry powder?
Hindi ba nito sisirain ang risk balance?
Aligned ba ito sa portfolio role ng stock?

Sa MH 2.0, ang trade ay hindi isolated event. Bahagi ito ng buong portfolio machine.


Investment Universe: 100% Local Common Equities Only

Ang unang malinaw na constraint ng MH Investment Policy:

Micro Harvesting 2.0 shall operate only within Philippine/local common equities.

Ibig sabihin:

Allowed:
Philippine/local common stocks listed in the local equities market, subject to MH screening, portfolio role, and governance rules.

Not allowed under the active MH strategy:
Fixed income
Foreign securities
Alternative assets
Preferred shares
Derivatives
Bonds
T-bills
Funds or instruments outside the approved MH universe

Kahit may preferred share na galing sa otherwise acceptable company, hindi siya automatic eligible. Sa MH 2.0, preferred shares are not accepted because the strategy is built around local common equities only.

This is not a weakness. This is a defined constraint.

Ang MH ay hindi textbook multi-asset portfolio. It is a local common equities portfolio system.

So instead of traditional asset allocation among stocks, bonds, money market, and alternatives, MH uses:

Intra-equity allocation.


Intra-Equity Allocation: Ang Tunay na Asset Allocation ng MH

Dahil 100% local common equities ang universe, ang allocation ng MH ay hindi based on traditional asset classes.

Instead, based ito sa portfolio role.

1. Low Volatility Dividend Harvester

Ito ang group para sa stocks na mas bagay sa dividend collection, income support, and portfolio stability.

Hindi sila treated as fixed income. Equities pa rin sila. May price risk pa rin. Pero within the MH framework, sila ang mas income-oriented part ng machine.

Primary harvest source: dividends
Secondary harvest source: occasional price-based harvests

2. Medium Volatility Micro Harvesting Stocks

Ito ang core operating field ng SDA-style refill and harvest cycles.

Dito mas active ang Micro Harvesting mechanics: capital blocks, layers, refill zones, harvest zones, and tactical execution.

Primary harvest source: price movement and realized gains

3. Core Anchor / Special Engine Positions

Some stocks may have a special role because of liquidity, strength, portfolio behavior, or historical performance inside the MH system.

These are not ordinary trading positions. They require stricter caps, clearer rules, and closer monitoring.

Primary concern: role discipline and concentration control

4. Rotation / Technical Probe Bucket

This is for temporary or tactical positions.

Hindi lahat ng opportunity dapat maging long-term holding. Some positions are only allowed as probes, rotation plays, or technical tests.

Primary concern: defined entry, defined purpose, defined exit logic

5. Cash / Dry Powder

Cash is not an afterthought.

In MH, dry powder is part of risk management. It allows the system to survive drawdowns, refill only when appropriate, meet liquidity needs, and avoid forced selling.

Primary purpose: survival, flexibility, and liquidity


Risk Policy: Opportunity Is Not Permission

One major upgrade of MH 2.0 is this:

Opportunity is not permission.

A stock may be down.
A refill layer may appear.
A technical signal may improve.
A harvest zone may open.

But none of these automatically force action.

In MH 2.0:

Layers are maps, not automatic triggers.
Harvest zones create options, not obligations.
Technical signals guide execution, not policy.
Allocation caps override excitement.
Dry powder rules override impatience.

This matters because a portfolio can be damaged not only by bad stock selection, but also by good stocks bought beyond policy limits.


Liquidity Policy: Dry Powder Is Survival Capital

Micro Harvesting is not designed to be fully deployed all the time.

Dry powder has a job.

It protects the operator from forced selling.
It allows selective refills during market weakness.
It creates room for rebalancing.
It supports liquidity needs.
It reduces emotional pressure.

In MH 2.0, cash is not “sayang.” Cash is part of the machine.

The dashboard should therefore monitor:

Cash level
Dry powder percentage
Deployment rate
Overdeployment alerts
Upcoming liquidity needs
Whether new buying is still allowed

A system with no dry powder may still have positions, but it has lost flexibility.


Return Policy: Harvests, Dividends, and Sustainability

MH 2.0 does not define return only as one big capital gain.

Instead, return may come from several sources:

Realized gains from harvests
Cash dividends
Portfolio repair through disciplined exits
Capital redeployment
Long-term compounding of the machine

For low volatility dividend stocks, dividends may become the main Micro Harvest source.

For medium volatility stocks, realized gains from refill-harvest cycles may remain the main source.

For special anchors, the role may include both capital appreciation and liquidity management.

The return objective is therefore not just:

“Make money from a stock.”

It is:

Generate sustainable harvests while keeping the portfolio governable.


Rebalancing Policy: Market Is Tactical, Operator Is Strategic

One of the clearest lessons of the MH 2.0 upgrade is this distinction:

Market conditions are tactical. The operator is strategic.

When the market changes, execution may change.

We may slow down refills.
We may protect cash.
We may harvest overweights.
We may avoid weak setups.
We may wait for confirmation.

But the portfolio policy should not change every time the market becomes noisy.

Policy-level change should happen when the operator’s situation changes:

Liquidity needs change
Risk tolerance changes
Time horizon changes
Income requirement changes
Capital base changes
Portfolio objective changes

That is why MH 2.0 should use scheduled reviews.

A quarterly review is useful for allocation and rebalancing.
An annual review is useful for the whole Investment Policy.

Rebalancing does not mean changing everything.

It means checking:

Is the actual portfolio still aligned with the policy?


Dashboard I and II: From Tracker to Governance System

Because of the Investment Policy, the MH dashboards also need to evolve.

The old dashboard logic was mostly:

What happened to this stock?
What is the current UPL?
Where is the next refill or harvest?

That remains useful. But MH 2.0 needs a higher-level dashboard.

Dashboard I: Investment Policy and Portfolio Allocation Dashboard

Dashboard I should answer:

Is the whole portfolio still aligned with the MH Investment Policy?

It should monitor:

Total portfolio value
Cash and dry powder
Deployment percentage
Allocation by MH role
Target vs actual weight
Overweight and underweight flags
Dividend income
Realized gains
Liquidity needs
Rebalancing alerts
Policy breaches

Dashboard II: Portfolio Construction and Execution Dashboard

Dashboard II should answer:

What action, if any, should be taken per position?

It should monitor:

Stock role
Shares held
Average cost
Layer status
Refill zones
Harvest zones
Technical condition
TMA Gate Score
Volume behavior
Action bias
IPS compliance status

The big upgrade:

Dashboard I protects the portfolio.
Dashboard II guides the execution.


The MH 2.0 Investment Policy in One Page

For practical use, the policy can be summarized this way:

Portfolio Name:
Micro Harvesting 2.0 / MH Money Machine

Investment Universe:
Philippine/local common equities only

Excluded Instruments:
Fixed income, foreign securities, alternatives, preferred shares, derivatives, and other non-approved instruments

Primary Objective:
Build a sustainable, rules-based local equities portfolio capable of generating harvests, dividends, and long-term capital growth

Secondary Objective:
Preserve portfolio flexibility through dry powder, allocation discipline, and rebalancing

Risk Philosophy:
Risk is managed through position sizing, allocation caps, dry powder, stock roles, technical filters, and governance rules

Return Sources:
Realized gains, dividends, capital rotation, and long-term compounding

Liquidity Rule:
Maintain enough dry powder and cash flexibility to avoid forced selling and support planned liquidity needs

Rebalancing Rule:
Review allocation quarterly; review full policy annually or when operator circumstances materially change

Core Principle:
Every trade must serve the portfolio


Why This Is the First MH Application Series Post

This post opens the MH Application Series because before we apply more advanced tools, we need the policy foundation first.

Before we upgrade Dashboard I and II, we need to know what they are supposed to monitor.

Before we improve technical execution, we need to know what execution is allowed to do.

Before we evaluate performance, we need to know what the portfolio was designed to achieve.

Before we chase returns, we need to define the risks we are willing to carry.

The Investment Policy is not the most exciting part of the MH Money Machine.

But it may be the most important.

Because without policy, the system can become reactive.

With policy, the system becomes governable.


Pangwakas na Kaisipan

Micro Harvesting began as a practical way to manage small equity positions through refills and harvests.

But MH 2.0 is becoming something bigger.

It is becoming a portfolio system.

Not because it wants to copy institutional portfolio management exactly, but because it needs its own governance structure.

Its universe is narrower.
Its rules are personal.
Its execution is active.
Its constraints are real.
Its operator is also the client.

That is why the Investment Policy matters.

It reminds us that the MH Money Machine is not just about buying and selling.

It is about building a portfolio that can survive, adapt, harvest, and remain aligned with its purpose.

And from here onward, every MH application should begin with one question:

Is this action consistent with the Investment Policy?

Because in Micro Harvesting 2.0, the trade is no longer the center.

The portfolio is.

Shariah Compliance Advisory (Updated Nov 26, 2025)

The PSE has confirmed that its Shariah screening program is currently paused, with no new lists to be released until their internal review is completed. Although news outlets reported quarterly updates up to mid-2025, these later lists are no longer accessible on the PSE website.

For now, the PSE’s Shariah-Compliant Securities page and all past lists have been removed from the public website. The December 24, 2024 list is the last official version in Micro Stock Trader’s possession, downloaded before the page was taken down, although other investors may still hold later copies such as the reported July 4, 2025 release.

All halal-focused strategies under Micro Stock Trader will use a conservative, self-screened approach until official guidance resumes, in shā’ Allāh.

About the CSSC Learning Series

Ang post na ito ay bahagi ng ating CSSC Learning Series, kung saan idinodokumento natin ang ating karanasan, mga natutuhan, at mahahalagang takeaways mula sa 17th PSE-Ateneo Certified Securities Specialist Course.

Ang programang ito ay isa sa mahahalagang capital-market education initiatives ng Philippine Stock Exchange, katuwang ang Ateneo Center for Continuing Education. Binubuo ito ng humigit-kumulang 123 oras ng continuing education tungkol sa financial at securities market theories, valuation techniques, fundamental at technical analysis, investment portfolio management, market dynamics, ethics, securities regulations, at real-world applications ng finance principles.

Ang bawat module ay pinangungunahan ng mga piling market practitioners at academicians na may malawak na kaalaman at aktuwal na karanasan sa finance at capital markets. Kasama sa programa ang synchronous at asynchronous lectures, exercises, group assignments, examinations, at hands-on training gamit ang iba’t ibang financial information platforms.

Sa matagumpay na pagtatapos ng programa, ang mga participants ay bibigyan ng certification mula sa PSE at Ateneo at igagawad ang titulong Certified Securities Specialist—isang karagdagang professional credential na kinikilala sa Philippine capital-markets industry.

Pero dito sa Micro Stock Trader Blog, hindi lamang natin tinitingnan ang bawat module bilang academic requirement. Sinusuri rin natin kung paano maisasalin ang mga aral nito sa aktuwal na karanasan ng isang retail stock trader—lalo na sa patuloy nating pagbuo, pagsusuri, at pagpapahusay ng Micro Harvesting framework.

Ito ang ating kuwento bilang Board Lot Warrior—ang inyong Batangueñong retail stock trader—na patuloy na nag-aaral, sumusubok, at nag-a-upgrade ng sariling sistema sa merkado.


Sa Micro Harvesting, madalas nakatuon ang ating pansin sa presyo, valuation, dividends, technical setup, capital allocation, at execution. Pero bago pa makarating ang isang listed stock sa ating portfolio, dumaraan muna ito sa isang malawak na sistema ng registration, listing, disclosure, supervision, at enforcement.

Ito ang pangunahing ambag ng Module 12: Securities Regulation sa ating CSSC Learning Series: ipinakita nito na ang stock market ay hindi lamang lugar kung saan nagtatagpo ang buyers at sellers. Isa rin itong regulated ecosystem na nakasalalay sa disclosure, accountability, investor protection, at market integrity. Ang module ay nakasandig sa Securities Regulation Code, Revised Corporation Code, SEC rules, at sa mga patakarang ipinapatupad ng self-regulatory organizations gaya ng Philippine Stock Exchange.

Hindi Pareho ang SEC Registration at PSE Listing

Isa sa mahahalagang paglilinaw sa module ay ang pagkakaiba ng registration ng securities sa Securities and Exchange Commission at ng listing ng shares sa Philippine Stock Exchange.

Sa pangkalahatan, ang securities na iaalok o ibebenta sa publiko ay kailangang dumaan sa registration process, maliban kung kabilang ang mga ito sa pinahihintulutang exemptions. Samantala, ang listing sa PSE ay nangangailangan ng hiwalay na pagsusuri sa kumpanya, kabilang ang financial condition, operating history, ownership structure, governance, disclosures, at kakayahang sumunod sa continuing listing requirements.

Para sa Micro Harvesting, mahalaga ito dahil ang pagiging listed ay hindi lamang teknikal na permission para ma-trade ang isang stock. May kasama itong patuloy na obligasyong maging transparent at accountable sa investing public.

Disclosure ang Pangunahing Tulay ng Investor

Malaking bahagi ng Module 12 ang nakatuon sa disclosure requirements ng listed companies.

Ang disclosures ay dapat maging full, fair, timely, at accurate upang magkaroon ng pantay na access sa material information ang mga investors. Kasama rito ang annual at quarterly reports, current reports, financial statements, ownership disclosures, dividends, acquisitions, changes in management, capital-raising activities, legal proceedings, at iba pang developments na maaaring makaapekto sa presyo o trading ng securities.

Dito mas luminaw kung bakit mahalaga ang PSE EDGE sa ating sariling research process. Ang disclosure ay hindi simpleng announcement lamang. Isa itong pangunahing input sa pag-evaluate kung may nagbago sa business, valuation, risk profile, dividend outlook, o investment thesis ng isang stock.

Material Information Bago Market Noise

Tinulungan din tayo ng module na mas maayos na ihiwalay ang material information mula sa ordinaryong market noise.

Ang isang development ay material kapag maaari itong makatwirang makaapekto sa presyo, trading activity, financial condition, prospects, operations, o ownership structure ng isang listed company. Maaaring kabilang dito ang major acquisitions, significant losses, changes in control, new share issuances, regulatory penalties, dividend declarations, buybacks, defaults, at substantial changes sa business operations.

Sa MH 2.0, mahalagang governance upgrade ito. Hindi sapat na gumalaw ang presyo para agad gumawa ng conclusion. Kailangan munang tanungin:

May bagong material disclosure ba?

Kung wala, maaaring ang galaw ay market positioning, liquidity, sentiment, o short-term volatility lamang. Kung mayroon, kailangang muling suriin ang investment thesis bago magdagdag, mag-hold, o mag-harvest.

Investor Protection at Market Integrity

Tinalakay rin ng module ang mga patakaran laban sa insider trading, selective disclosure, manipulation, at iba pang practices na maaaring makasira sa fairness ng market.

Mahalaga ang mga patakarang ito dahil ang tiwala ang isa sa pinakamahalagang capital ng anumang securities market. Kapag hindi pantay ang access sa impormasyon o maaaring manipulahin ang presyo nang walang pananagutan, humihina ang kakayahan ng ordinaryong investor na gumawa ng informed decision.

Hindi kayang alisin ng regulation ang lahat ng investment risk. Hindi rin nito ginagarantiyahan na magiging profitable ang isang listed company. Ang layunin nito ay tiyaking may sapat na impormasyon, malinaw na proseso, at mekanismo ng enforcement upang ang risk-taking ay mangyari sa loob ng isang mas maayos at mas transparent na market.

Public Float, Liquidity, at Tradability

Ang discussion tungkol sa minimum public ownership ay may direktang kaugnayan din sa Micro Harvesting.

Ang public float ay nakaaapekto sa tunay na availability ng shares sa market. Kapag napakaliit ng public float, maaaring maging mas manipis ang liquidity, mas malawak ang bid-ask spread, at mas sensitibo ang presyo sa malalaking orders. Sa kabilang banda, ang mas malawak na public participation ay karaniwang nakatutulong sa price discovery at tradability.

Para sa MH, lalo itong mahalaga dahil ang isang stock ay maaaring magmukhang attractive sa valuation o dividend yield ngunit mahirap naman i-accumulate o i-harvest nang maayos dahil sa liquidity constraints.

Delisting, Suspension, at Regulatory Risk

Nagbigay rin ang module ng mas malinaw na pagtingin sa trading suspensions, voluntary at involuntary delisting, regulatory penalties, at iba pang enforcement actions.

Ang mga ito ay paalala na ang regulatory risk ay tunay na portfolio risk. Ang stock ay maaaring manatiling negosyo, ngunit ang kakayahan ng investor na makabili, makapagbenta, o ma-realize ang capital ay maaaring maapektuhan ng suspension o delisting.

Kaya sa MH 2.0, hindi sapat ang price risk at earnings risk lamang. Dapat ding isama sa governance review ang:

  • disclosure compliance;
  • public float;
  • trading suspension history;
  • regulatory actions;
  • ownership changes;
  • at continuing listing status.

Ang Ambag ng Module 12 sa MH 2.0

Hindi nito binago ang ating pangunahing universe: nananatili tayong nakatuon sa PSE-listed common equities at, batay sa pinakamahusay na available knowledge, sa mga stock na maituturing na Shariah-compliant.

Pero pinalawak ng Module 12 ang paraan ng pagtingin natin sa isang listed company.

Ang stock ay hindi lamang ticker, chart, dividend yield, o valuation multiple. Ito ay bahagi ng isang regulated corporate and market structure. May disclosures itong kailangang basahin, governance na kailangang suriin, ownership na kailangang unawain, at regulatory risks na kailangang isama sa decision-making.

Sa puntong ito, mas malinaw na ang MH 2.0 ay hindi lamang tungkol sa tamang pagbili at pagbenta. Ito rin ay tungkol sa paggamit ng tamang impormasyon, pagrespeto sa market rules, at paggawa ng decisions sa loob ng isang disciplined at transparent na framework.

Governance remains the first line of defense. Profit comes after.
